Terms of Service
1. Who we are
Kyvel is operated by Koi Wave Labs, VAT/Tax ID (P.IVA/CF) 05792360280, registered office at Via della costituzione, 31, Vigonza, Italy — contact: info@koiwavelabs.com ("we", "us"). By creating an account or using kyvel you accept these terms.
2. The service
Kyvel analyses publicly available web conversations and turns them into aggregated market insights: need clusters with scores, trends, evidence links and generated reports. The service provides informational market research, not business, financial, legal or investment advice. Insights are produced with automated pipelines, including large language models, and may contain errors or omissions: verify independently before making decisions based on them.
3. Accounts
You must be at least 18 and provide accurate information. You are responsible for your credentials and for all activity under your account. We may suspend accounts that violate these terms or threaten the integrity of the service.
4. Plans, billing and cancellation
- Paid plans (Pro, Pro+) are billed in advance, monthly or yearly, through Stripe. Prices are shown at checkout and include VAT where applicable.
- Subscriptions renew automatically at the end of each period until cancelled. You can cancel anytime from the billing settings; cancellation takes effect at the end of the current billing period, with no penalties. No pro-rated refunds for the remaining period, except where required by law.
- Usage-based features (e.g. Idea Reports, Copy Generator) have monthly quotas per plan; unused quota does not roll over.
- EU right of withdrawal: if you are a consumer in the EU, you have 14 days to withdraw from a purchase. By starting to use the paid digital service immediately, you acknowledge that the right of withdrawal is lost once the service has been fully performed and consent to immediate performance; where the right still applies, contact info@koiwavelabs.com within 14 days of purchase.
- We may change prices with at least 30 days' notice; changes apply from the next renewal.
5. Acceptable use
You must not: (a) scrape, bulk-export or resell Kyvel data or make it available to third parties outside your organisation; (b) reverse engineer the service; (c) use the service to violate any law or third-party right; (d) circumvent plan limits or access controls; (e) resell or share one account across multiple organisations.
6. Intellectual property
The service, its software, design and aggregated datasets are ours or our licensors'. Your subscription grants a limited, non-exclusive, non-transferable licence to use the insights for your own business purposes. Evidence links point to third-party public content that belongs to its respective authors and platforms.
7. Third-party services
The service depends on third-party providers (hosting, payments, email, LLM APIs). Their temporary unavailability may affect the service; we are not liable for third-party outages beyond our control.
8. Warranty disclaimer
The service is provided "as is" and "as available", without warranties of accuracy, completeness, fitness for a particular purpose or uninterrupted availability, to the maximum extent permitted by law. Nothing in these terms limits mandatory consumer rights under Italian and EU law.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising from or related to the service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect or consequential damages, lost profits, or business decisions made on the basis of the insights. This limitation does not apply to cases of wilful misconduct or gross negligence, or where liability cannot be limited by law.
10. Termination
You can delete your account at any time. We may terminate or suspend access for material breach of these terms, with notice where practicable. Sections 6, 8, 9 and 12 survive termination.
11. Changes to these terms
We may update these terms; material changes will be notified in the product or by email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
12. Governing law and jurisdiction
These terms are governed by Italian law. For disputes with consumers, the competent court is the consumer's place of residence as provided by law; for all other disputes, the courts of the district where Koi Wave Labs has its registered office have exclusive jurisdiction. EU consumers may also use the European ODR platform.
